C.H. Robinson to acquire RXO in $5.8 billion logistics tie-up
· Shipping · United States
C.H. Robinson has entered a definitive agreement to acquire RXO in a stock-and-cash transaction valued at approximately $5.8 billion, bringing together two major North American third-party logistics players. The combined company would have an enterprise value of more than $25 billion. Management is targeting about $300 million of cost synergies. RXO is forecast to earn about 2 cents of EBITDA per dollar of revenue this year, against about 6 cents at C.H. Robinson, and the synergies would more than close that gap. Analysts say the deal raises the bar for truck-to-rail conversion, since the largest truck broker would become larger and better at pricing truck capacity, with intermodal partners watching closely.
Why it matters:The deal accelerates consolidation in North American brokerage and logistics, giving a scaled incumbent more pricing power over truck capacity and reshaping competition with railroads and other forwarders.
